Terms of Service

1. Agreement

These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your", the "Subscriber") and MyDeskly ("MyDeskly", "we", "us", "our"), the operator of the platform at mydeskly.com and the MyDeskly mobile application.

By creating an account, starting a free trial, or using any part of the MyDeskly service, you confirm that you have read and agree to these Terms and our Privacy Policy. If you are registering on behalf of a business, you confirm you have the authority to bind that business to these Terms.

MyDeskly is a subscription platform for UK trade businesses that automatically responds to missed calls. The service:

You are responsible for keeping your login credentials secure and for all activity that occurs under your account. If you believe your account has been accessed without authorisation, notify us immediately at support@mydeskly.com. We will not be liable for losses resulting from unauthorised account access where you have not taken reasonable steps to keep your credentials secure.

5. Free trial and billing

New accounts begin with a 14-day free trial. We collect your payment card details via Stripe at sign-up, but you will not be charged during the trial period.

Subscription

After your 14-day trial, your subscription begins automatically at £99 per month (or the price shown at mydeskly.com/#pricing at the time you signed up), billed monthly via Stripe. All prices are inclusive of VAT where applicable.

Cancellation

You may cancel your subscription at any time from within the app (Settings → Cancel Subscription) or by emailing support@mydeskly.com. Cancellation takes effect at the end of your current billing period — you will not be charged again. You retain full access to the service until that date.

To avoid being charged at all, cancel before your 14-day trial ends. Your data will be deleted on cancellation as described in our Privacy Policy.

What happens when a subscription ends

When your subscription is cancelled or lapses, your dedicated UK phone number is released back to our provider pool and may be reassigned. You should update your business contact number with all directories, marketing materials, and online listings promptly. You will not have access to your leads or call history after the number is released.

Failed payments

If a payment fails, we will notify you by email. After a short grace period, your account may be suspended until payment is resolved. If the subscription is not reinstated within a reasonable period, your account and associated data may be deleted.

Refunds

Given the nature of monthly software subscriptions and the immediate availability of the service, we do not generally issue refunds for unused portions of a billing period, except where required by applicable law or at our sole discretion.

6. Your dedicated phone number

MyDeskly provisions a dedicated UK mobile number for your account through our SMS provider (Twilio). This number is provided solely for operating the MyDeskly service. It is not a personal telephone number — it cannot be ported to another provider, transferred to another account, or used outside the MyDeskly platform. If your subscription lapses, the number will be released and you will lose access to it.

7. AI and automated messaging

The service uses artificial intelligence (Anthropic's Claude language model) to generate SMS messages sent to your callers on your behalf. By using the service, you:

By signing up, you confirmed that you have a lawful basis to send automated SMS messages to people who call your business number. You are the data controller for your callers' personal data and are responsible for your own compliance with:

10. Data processing agreement (Article 28 UK GDPR)

This section constitutes a written data processing agreement between you (data controller) and MyDeskly (data processor) for the processing of your callers' personal data, as required by Article 28 UK GDPR.

Subject matter and nature of processing

MyDeskly processes your callers' phone numbers, SMS conversation content, names, job descriptions, and booking details on your behalf in order to operate the missed-call response, lead qualification, and booking automation service described in these Terms.

Duration

For the duration of your subscription and any subsequent period required to complete deletion.

11. Third-party integrations

The service integrates with Cal.com and/or Calendly to enable booking. These are independent third-party services with their own terms of service and privacy policies. You are responsible for complying with their terms when connecting your booking account to MyDeskly. MyDeskly is not responsible for the availability, accuracy, or conduct of these third-party platforms.

12. Intellectual property

MyDeskly, its logo, branding, platform software, and underlying technology are owned by MyDeskly. Nothing in these Terms grants you any rights to copy, distribute, or create derivative works from any part of the MyDeskly platform without our prior written permission.

We claim no intellectual property rights over your business data, your onboarding content, or your callers' conversation data. That data remains yours.

13. Availability

We aim to keep the service available and reliable, but we do not guarantee uninterrupted availability. Automated SMS delivery depends on Twilio's network and UK mobile operator delivery infrastructure, which is outside our direct control. We will notify you of planned maintenance where reasonably practicable, and we will work to resolve unplanned outages as quickly as possible.

14. Disclaimer and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYDESKLY WILL NOT BE LIABLE FOR:

Our total aggregate liability to you in any twelve-month period, regardless of the basis of the claim, shall not exceed the total subscription fees actually paid by you to MyDeskly during that period.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under the laws of England and Wales.

15. Changes to these Terms

We may update these Terms from time to time. We will give you at least 30 days' advance notice of any material change by email and by in-app notification. If you do not agree to the revised Terms, you may cancel your subscription before the changes take effect. Continued use of the service after that date constitutes your acceptance of the updated Terms.

16. Termination

You may cancel your subscription at any time as described in section 5. We may suspend or terminate your account immediately if you breach these Terms materially or repeatedly. We may also terminate the service entirely on 30 days' written notice for any reason. On termination, your data will be handled in accordance with our Privacy Policy.

17. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We will always try to resolve disputes informally first. Please contact us at support@mydeskly.com before initiating formal legal proceedings — we will respond within 10 business days.
